Welcome to the Stack Learner Beta platform, SL("Stack Learner," "we," or "us") and our websites at www.stacklearner.com, along with our related websites, hosted applications, mobile or other downloadable applications, and other services provided by us (collectively, the "Service"). These Terms and Conditions are a legally binding contract between you and Stack Learner regarding your use of the Service.

PLEASE READ THE FOLLOWING TERMS CAREFULLY:

BY CLICKING "I ACCEPT," OR BY DOWNLOADING, INSTALLING, OR OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE THAT YOU HAVE READ AND UNDERSTOOD, AND, AS A CONDITION TO YOUR USE OF THE SERVICE, YOU AGREE TO BE BOUND BY, THE FOLLOWING TERMS AND CONDITIONS, INCLUDING STACK LEARNER'S PRIVACY NOTICE (TOGETHER, THESE "TERMS"). IF YOU ARE NOT ELIGIBLE OR DO NOT AGREE TO THE TERMS, THEN YOU DO NOT HAVE OUR PERMISSION TO USE THE SERVICE. YOUR USE OF THE SERVICE, AND STACK LEARNER'S PROVISION OF THE SERVICE TO YOU, CONSTITUTES AN AGREEMENT BY STACK LEARNER AND BY YOU TO BE BOUND BY THESE TERMS.

THE SERVICES ARE PROVIDED IN A "BETA" FORM, MEANING THE PLATFORM IS IN ACTIVE DEVELOPMENT. BUGS, INCOMPLETE FEATURES, OR SERVICE DISRUPTIONS MAY OCCUR. YOUR FEEDBACK IS ENCOURAGED BUT DOES NOT ENTITLE YOU TO ANY COMPENSATION OR WARRANTY OF SERVICE AVAILABILITY.

Service Overview:

Stack Learner is a leading educational platform focused on providing high-quality, tech-driven training and skill development stack. Through online courses, live workshops, and hands-on projects, skill test Stack Learner empowers students, professionals, and developers to build in-demand technical skills. The platform offers courses ranging from beginner to advanced levels, ensuring learners gain both foundational knowledge and industry-relevant expertise. Stack Learner's mission is to foster a community of lifelong learners in the tech space.

Eligibility:

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant to us that:

(a) You are at least 18 years old and of legal capacity under Bangladeshi law; (b) You have not been previously suspended or removed from the Service; (c) Your registration and use of the Service comply with all applicable Bangladeshi laws and regulations; and (d) You are entering into these Terms voluntarily and with full consent.

If you are an entity, the individual accepting these Terms on your behalf warrants that they have the authority to bind the entity.

If you are under the legal age of majority in Bangladesh (a "Minor"), your parent or legal guardian, who is above the age of majority (18), may accept these Terms on your behalf, supervise your access to the Service, and ensure compliance with these Terms.

Accounts and Registration:

To access most features of the Service, you must register for an account. When you register for an account, you may be required to provide us with some information such as your name, email address, payment information if applicable, location, or other contact information. We strictly prohibit you from providing any sensitive personal data to us. You agree that the information you provide to us is accurate, complete, and not misleading and that you will keep it accurate and up to date at all times. When you register, you will be asked to create a password. You are solely responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account. If you believe that your account is no longer secure, then you should immediately notify us at support@stacklearner.com.

General Payment Terms:

Certain features of the Stack Learner service may require payment of fees. Before paying any fees, you will have the opportunity to review and accept the fees that will be charged. Payments will be processed via SSL Commerz, a secure payment gateway. By using the service, you grant Stack Learner or its authorized payment processor the right to retain and use your payment information to charge any amounts you owe.

4.1 Price: Stack Learner offers two pricing models:

(a) Live workshops are available through one-time ticket purchases

(b) Courses, hands-on projects, and skill tests are accessible through an annual subscription model

Stack Learner reserves the right to set and modify pricing for both models. We will provide advance notice of any price changes before they take effect. Promotional offers with different pricing may be made available from time to time, and these will not apply to you unless explicitly stated.

4.2 Authorization: By using the service and making any purchases, you authorize Stack Learner to charge your payment method for all fees associated with your chosen service plan.

4.3 Subscription Service: Some services like courses, projects, skill test etc offered on a subscription basis with automatic renewal. The "Subscription Billing Date" is when you purchase your first subscription, and it will continue for the period selected in your account (the "Initial Subscription Period"). The subscription will automatically renew for successive periods unless canceled by you or terminated by Stack Learner. You authorize Stack Learner or its payment processor, SSL Commerz, to charge recurring fees for your subscription on the renewal date. To avoid being charged for the next subscription period, you must cancel before the renewal date. Cancellations can be made via your account settings, by contacting customer service, or by emailing support@stacklearner.com.

CANCELLATIONS MUST BE RECEIVED BEFORE THE RENEWAL DATE TO AVOID THE NEXT CHARGE.

Note: Subscription Service is currently under development.

4.4 Workshop Tickets: Workshops are offered as one-time payment events under the Flexible Contribution System. Attendees can select their contribution amount for each workshop, subject to defined limits. This system allows for equitable participation while supporting the platform's sustainability and accessibility initiatives.

4.5 Excess Usage: If your usage exceeds the agreed scope, including unauthorized sharing of user credentials, Stack Learner reserves the right to invoice you for the excess usage at the rates specified in your plan or, if no plan is specified, at the current list price for the applicable service.

4.6 Delinquent Accounts: Stack Learner may suspend or terminate access to services, including paid features, for any account with unpaid dues. A delinquent account will be charged fees incidental to the chargeback or collection process, including collection fees. If your payment method is no longer valid when a renewal fee is due, Stack Learner reserves the right to terminate your account and delete any associated information or content without liability.

Proprietary Rights:

Stack Learner is owned and operated by Stack Learner. All visual interfaces, graphics, designs, compilations, information, data, computer code (including source and object code), products, software, services, and other elements of the Stack Learner platform ("Materials") are protected by intellectual property and other laws. These Materials are the property of Stack Learner or its third-party licensors. Except as expressly authorized, users may not utilize the Materials. No implied licenses exist, and Stack Learner reserves all rights to the Materials not explicitly granted in these terms.

Third-Party Terms

6.1 Third-Party Services and Linked Websites: Stack Learner may offer tools that enable users to export information, including User Content, to third-party services. By using these tools, you authorize Stack Learner to transfer your information to the relevant third-party services. However, these third-party services are beyond Stack Learner's control, and Stack Learner is not responsible for their use of your exported information. The platform may also contain links to third-party websites, and you should review their terms and privacy policies before sharing any User Content.

6.2 Third-Party Software: The Service may include third-party software components that are available under licenses granting broad rights to copy, modify, and distribute them ("Third-Party Components"). While using the Service under these Terms, nothing restricts your ability to obtain or use Third-Party Components under their respective licenses.

Communications

7.1 Text Messaging & Phone Calls: By providing your phone number, you consent to receiving calls and text messages from Stack Learner, including operational messages. Standard rates may apply. To opt-out of marketing messages, email support@stacklearner.com or reply "STOP" to a received message. Replying "STOPALL" will halt all communications, but it may impact your service use.

7.2 Email: You may receive emails about products and services. You can unsubscribe using the link in promotional emails.

7.3 Product Communications Consent: Stack Learner may send personalized communications via email, SMS, or in-app updates, following your preferences. You can withdraw consent at any time, and your data will be processed in line with Stack Learner's Privacy Policy, which ensures GDPR compliance.

Intellectual Property Rights:

Stack Learner is committed to protecting intellectual property rights and requires its users to respect these rights. All content and materials available on the platform are owned by Stack Learner unless explicitly stated otherwise. Users are prohibited from copying, modifying, distributing, or selling any content from the platform without proper authorization. Violations of intellectual property rights may result in legal action under applicable laws, including the Copyright Act of Bangladesh and the Digital Security Act of 2018 (Section 19), among others.

Governing Law:

The legal matters of this contract shall be determined in accordance with the laws of Bangladesh, regardless of conflicts of law. In addition, these terms will be resolved in the jurisdiction of the relevant courts in Dhaka, and you agree to accept their authority.

10. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, STACK LEARNER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR OTHER LEGAL THEORY, EVEN IF STACK LEARNER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Prohibited Conduct

By using Stack Learner's Service, whether paid or free, you agree to refrain from the following:

11.1 Using the Service for illegal purposes or violating any local, national, or international laws.

11.2 Harassing, threatening, demeaning, or bullying other users of the Service. You must not cause any form of harm or embarrassment to others through your interactions on the platform. Abusive behaviors, including the dissemination of harmful or offensive content, are strictly prohibited.

11.3 Violating or instructing others to violate any third-party rights, including intellectual property rights. You agree not to upload or share any content on the platform that infringes upon someone else's copyright, trademark, or any other proprietary rights. This includes making use of materials without the permission of the rightful owner, or encouraging others to do so.

11.4 Attempting to access, search, or use the Service using automated tools, such as bots, spiders, crawlers, or any unauthorized search engines or software. You may only use the search tools provided by Stack Learner to access or navigate the Service.

11.5 Interfering with the security features of the Service, including trying to circumvent features that restrict usage, printing, or copying of content. You must not attempt to reverse-engineer, decompile, or disassemble any part of the Service, except where explicitly allowed by applicable law.

11.6 Disrupting or interfering with the Service's operation or other users' experience, including through actions like uploading viruses, malware, adware, or other malicious code. You must not engage in unsolicited advertising, collect or share personal data from users without their consent, or interfere with any network or server connected to the Service.

11.7 Committing fraud, including impersonating another person or entity, making false claims of affiliation or identity, accessing another user's account without permission, or falsifying any information, such as your age or birth date.

11.8 Selling, transferring, or attempting to sell your access rights to the Service, or any materials associated with the Service. You are not permitted to transfer your access to other users without the express permission of Stack Learner.

11.9 Assisting or encouraging any other person in engaging in any of the prohibited activities described in this section, or attempting to do so yourself. If you witness or become aware of such conduct, you must not participate and are encouraged to report the issue to Stack Learner's support team.

These provisions are designed to maintain a safe, secure, and lawful environment for all users.

Modifications of Terms:

Stack Learner reserves the right to modify or update these terms at any time. Continued use of the platform following any updates constitutes acceptance of the revised terms.
